DEFINITIONS: “Client” refers to the lndividual(s) named on this Agreement, his/her representatives, successors,
assigns, agents, and/or affiliates. “ROYAL KITCHEN CATERING INC” refers to Royal Kitchen, its agents, employees and independent
contractors. “Event” refers to the event(s) for which the Client has retained ROYAL KITCHEN CATERING INC to perform the
Services. “Services”’ refers to catering services provided by ROYAL KITCHEN CATERING INC to or on behalf of the Client. “Venue”
refers to the location at where the Event will be held.
SERVICES: The Client agrees to retain ROYAL KITCHEN CATERING INC to provide the Services, which have been previously agreed
upon and/or which are set out in the attached invoice, at the Event. ROYAL KITCHEN CATERING INC reserves the right to amend
the Services with reasonable cause and reasonable notice to the Client. Any request for changes to the Services
by the Client must be approved in writing by ROYAL KITCHEN CATERING INC, and the Client agrees to pay for any fees or charges
associated with any such requested changes. All fees or charges associated with such requested changes will be due
and owing immediately upon ROYAL KITCHEN CATERING INC written approval of same.
ADDITIONAL FEES: The Client will ensure that ROYAL KITCHEN CATERING INC has access to the Venue for any set-up required
under this Agreement. ROYAL KITCHEN CATERING INC will not be liable to the Client for any delay caused by access restrictions
to the Venue. The Client will immediately pay or reimburse ROYAL KITCHEN CATERING INC for any additional fees or charges
associated with the Venue.
PAYMENT: Upon execution of this Agreement, the Client will pay a NON-REFUNDABLE DEPOSIT in the amount
previously agreed upon between the Client and ROYAL KITCHEN CATERING INC. The Client’s failure to pay the deposit will result
in the termination of this Agreement, and the Client acknowledges and agrees that ROYAL KITCHEN CATERING INC will not have
any obligations to provide the Services to or on behalf of the Client. The Client will pay the remaining balance for
the Services by cash, certified cheque, bank draft or E-Transfer AT LEAST FOURTEEN BUSINESS DAYS PRIOR to
the date of the Event. If the Client fails to pay the remaining balance at least fourteen days prior to the Event, then
ROYAL KITCHEN CATERING INC may, at its option, terminate this Agreement and retain all amounts paid by the Client including the
deposit.
INTEREST: All outstanding amounts for the Services, any agreed upon changes to the Services or any additional fees
will be subject to interest from the due date at 2% per month compounded monthly (or 26.82% per annum).
DEFAULT: In the event of non-payment by the Client for all or part of the Services, any agreed upon changes
to the Services or any additional fees, the Client will pay all of ROYAL KITCHEN CATERING INC costs and expenses incurred in
connection with the enforcement of the terms of this Agreement including ROYAL KITCHEN CATERING INC reasonable legal fees.
END TIME: Unless otherwise specified, ROYAL KITCHEN CATERING INC does not have a specific “end time” for the Event. The
Client acknowledges that the Venue may require that it be vacated by a specific time, and the Client acknowledges
and agrees that ROYAL KITCHEN CATERING INC may begin the removal of equipment before the end of the Event in order to
vacate the Venue by the stipulated time. ROYAL KITCHEN CATERING INC will continue to provide services as needed until the end
of the Event.
DELAYS: ROYAL KITCHEN CATERING INC will not be liable to the Client for any delay or interruption in the services arising from
any acts of God or any delay or interruption caused or contributed to by the acts of the Client, his/her guests or
any other contractor or other person engaged by the Client for the purposes of the Event including but not limited
to decorators, food and beverage providers, bartenders, performers and representatives of the Venue.
TOLERANCE AND BEHAVIOUR: ROYAL KITCHEN CATERING INC will not tolerate any abuse, foul language, or other negative
behaviour from the Client or any of his/her guests. The Client acknowledges and agrees that if ROYAL KITCHEN CATERING INC
suffers any physical, verbal, emotional or other abuse in its performance of the Services from the Client or any of
his/her guests, then it has the right to discontinue the Services immediately. The Client expressly acknowledges and
agrees that if ROYAL KITCHEN CATERING INC discontinues the Services for the reasons set out in this paragraph, then all payments
made by the Client to ROYAL KITCHEN CATERING INC will not be refunded to the Client and any outstanding amounts for the
Services, any agreed upon changes to the Services or any additional fees will remain due and owing.
CONFIDENTIALITY NOTICE:
THE CONTENTS OF THIS CONTRACT ARE CONFIDENTIAL AND ARE INTENDED SOLELY FOR THE CLIENT SPECIFIED. IF YOU HAVE OBTAINED THIS CONTRACT IN ERROR, ANY USE, REPRODUCTION OR DISSEMINATION OF ITS CONTENTS IS STRICTLY PROHIBITED. IF YOU ARE NOT THE INTENDED RECIPIENT, PLEASE IMMEDIATELY NOTIFY “ROYAL KITCHEN CATERING INC”.
ALTERATIONS TO THE SERVICES DUE TO EMERGENCY: ROYAL KITCHEN CATERING INC, at its option, has the right to alter
this Agreement at ANY time for any personal emergency to its employees or independent contractors including
family, health, accident or illness, or any business-related emergency rendering ROYAL KITCHEN CATERING INC unable to provide
the Services as agreed upon. If the Services must be altered on account of an emergency, then ROYAL KITCHEN CATERING INC will
provide replacement services to attend the Event and will apply a corresponding price adjustment to reflect said
changes.
COPYRIGHT: ROYAL KITCHEN CATERING INC has the right to take promotional photo and video footage at the Event. ROYAL KITCHEN CATERING INC owns the copyright to all photo and video footage taken on the day of the event and may use it for any
website, blog, client presentation, or other form of promotional media.
DAMAGE TO ROYAL KITCHEN CATERING INC.
PROPERTY: The Client expressly assumes all liability for any physical damage
to any equipment owned or rented by ROYAL KITCHEN CATERING INC that is caused or contributed to by the actions of the
Client, his/her guests or any other contractor or other person engaged by the Client for the purposes of the
Event including but not limited to decorators, food and beverage providers, bartenders, performers, security and
representatives of the Venue.
INSURANCE: The Client will obtain liability insurance for the Event. This policy will list ROYAL KITCHEN CATERING INC as an
additional named Insured and will be primary Insurance so that it will respond first and before any other policy of
Insurance obtained by ROYAL KITCHEN CATERING INC.
INDEMNITY: The Client will indemnify and hold harmless ROYAL KITCHEN CATERING INC, its agents, employees, independent
contractors and insurers from all liability to any individual(s), company(ies) or any other third party(ies) for any
injury, loss, damage or expense arising from or otherwise directly or indirectly relating or in any way connected
to the Services, any changes to the Services, the Event or the Venue. This clause applies even if any of the losses
were caused or contributed to by the negligence of ROYAL KITCHEN CATERING INC, its agents, its employees or independent
contractors, and includes any costs and legal fees arising out of defending or responding to any potential claim
brought by any individual(s), company(ies) or any other third party(ies) for said losses against ROYAL KITCHEN CATERING INC, its
agents, employees, independent contractors and insurers.
WAIVER: The Client expressly releases, waives, discharges and convenants not to sue ROYAL KITCHEN CATERING INC, its agents,
employees and independent contractors, from and for any liability resulting, from any personal injury including but
not limited to accident, illness or death, and/or property loss or damage, however caused, arising from, or in any
way related to the Event, the Services, any changes to the Services or the Venue, regardless of whether such injury,
loss or damage is caused by the negligence of ROYAL KITCHEN CATERING INC, its agents, employees or independent contractors,
and regardless of whether such liability arises in tort, contract, or otherwise.
TRAVEL: Client hereby agrees to pay in full any accommodations and travel fees that may be at expense for ROYAL KITCHEN CATERING INC including but not limited to airfare, hotel, meals, transportation and out-of-town equipment rental as
needed by ROYAL KITCHEN CATERING INC to deliver the agreed upon services.
ALL TRAVEL ITINERARIES MUST BE APPROVED BY ROYAL KITCHEN CATERING INC BEFORE BOOKING.
TIMING: The terms of this agreement are in full effect immediately upon execution of this Agreement by the Client
and ROYAL KITCHEN CATERING INC.
SEVERABILITY: If a clause in this agreement is determined by any court or other competent authority to be
unlawful and/or unenforceable, the other clauses in this agreement will continue to have effect.
DISCLAIMER:
Please be advised that while ROYAL KITCHEN CATERING INC takes great care in preparing meals and adheres to safety and cleanliness standards, we cannot guarantee the complete absence of allergens in our dishes. Our kitchen handles a variety of ingredients, including (but not limited to) nuts, dairy, gluten, and seafood. Therefore, there is always a possibility of cross-contamination.
ROYAL KITCHEN CATERING INC is not liable for any adverse reactions to food consumed or for any other incidents related to food allergies or dietary restrictions of any kind. It is the responsibility of the client or guests to inform us of any specific dietary needs or allergies prior to the event. We will do our best to accommodate special dietary requirements but cannot ensure that these needs will be met in every instance.
By choosing to dine with us, guests acknowledge and accept these risks and agree not to hold Royal Kitchen Catering Inc. liable for any allergy-related issues or dietary complications that may arise.
